The Importance of Authorised Signatories in Business Banking
- When the company’s bank account is opened, the company’s authorised signatories should be identified and any restrictions on their authority should be agreed and expressly recorded with the bank. Businesses can identify and authorise people to act on their behalf in a Resolution. In the case of companies the shareholders can also consider negotiating, agreeing upon and specifying these details in their Shareholders Agreement.
- When authorised signatories leave the company, the bank must be notified that their authority is withdrawn, together with the identification of the new authorised signatories.
- Then, of course, there’s the all-important online banking login. Many a company owner entrusts their login details to a staff member who is appointed to sort out all those niggly day-to-day banking issues. Without going into the obvious risks involved here (including the fact that you’re unlikely to find any sympathy – or reimbursement – from the bank if your bookkeeper runs off to Brazil with your millions), when a staff member who has online access to your account leaves your employ, changing the login details should be your first priority. Include this as a step in your Termination Policy.
